Terms of Service

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

2.1 Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

2.2 User Accounts

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

3.1 Subscription

The Service is provided on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring, periodic basis (e.g., monthly or annually). Subscriptions will automatically renew under the exact same conditions unless you cancel it or Steadiness.ai cancels it.

3.2 Free Trial

Steadiness.ai may, at its sole discretion, offer a Subscription with a free trial for a limited period of time. If you do not cancel the Subscription before the free trial period expires, you will be automatically charged the applicable Subscription fees.

3.3 Fee Changes

Steadiness.ai, in its sole discretion and at any time, may modify the Subscription fees. Any Subscription fee change will become effective at the end of the then-current Billing Cycle. We will provide you with reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.

4.1 Service Content

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Steadiness.ai and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Steadiness.ai.

4.2 User Content (Your Data)

You retain all ownership rights to the tasks, goals, aspirations, notes, and other data you input into the Service ("User Content").

By submitting User Content, you grant Steadiness.ai a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content solely for the purpose of operating, providing, and improving the Service, including generating your Performance Dashboard and providing personalized AI assistance. This license terminates when you delete your User Content or your account, unless your User Content has been shared with others and they have not deleted it.

The Service integrates with third-party services, specifically Google Calendar, to provide Daily Planning Support and Smart Reminders.

You acknowledge and agree that your use of Google Calendar is governed by Google's own terms of service and privacy policy. Steadiness.ai is not responsible for the functionality, security, or privacy practices of Google Calendar.

By connecting your Google Calendar, you authorize Steadiness.ai to access and modify your calendar data as necessary to provide the Service's core features. You agree to indemnify and hold harmless Steadiness.ai from any claims arising from your use of Google Calendar or the integration of the Service with Google Calendar.

The Service is an AI-driven 3D Avatar Assistant that provides productivity advice, planning, and reminders.

YOU ACKNOWLEDGE AND AGREE THAT:

• The Service is a tool and not a substitute for professional advice. The AI assistant provides suggestions and guidance based on algorithms and the data you provide. It is not a licensed professional mentor, financial advisor, medical professional, or legal counsel.
• You are solely responsible for all decisions and actions taken based on the information and suggestions provided by the Service. Steadiness.ai makes no representations or warranties regarding the accuracy, completeness, or usefulness of any information provided by the AI assistant.
• The Service is provided "as is" and "as available." We do not warrant that the Service will be uninterrupted, timely, secure, or error-free.

You agree not to use the Service to:

• Violate any applicable local, state, national, or international law or regulation.
• Infringe upon the rights of others, including but not limited to intellectual property rights.
• Transmit any material that is abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
• Upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Service.
• Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service.

In no event shall Steadiness.ai, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

These Terms shall be governed and construed in accordance with the laws of Massachusetts, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration in Boston, Massachusetts in accordance with the rules of the American Arbitration Association.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
